Terms of Service
These terms govern access to and use of the SoberLab platform (SoberLab) — the software backbone for recovery organizations. Please read them carefully.
Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between your organization ("Customer," "you") and SoberLab, Inc. ("SoberLab," "we," "us"). By accessing or using the SoberLab platform, websites, and mobile applications (together, the "Services"), or by clicking to accept, you agree to these Terms.
If a separately executed Master Services Agreement, Order Form, or Business Associate Agreement exists between you and SoberLab, the terms of that agreement control where they conflict with these Terms.
Eligibility & accounts
The Services are intended for staff of licensed or certified recovery organizations. You must be at least 18 years old and authorized by your organization to use the Services on its behalf.
Access is provisioned by your organization’s administrator and authenticated through Google single sign-on. You are responsible for maintaining the security of your Google account and for all activity that occurs under your credentials. Notify us immediately of any suspected unauthorized access.
License & acceptable use
Subject to these Terms, SoberLab grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal operations. You agree not to:
Customer data & protected health information
You retain all rights to the data your organization submits to the Services ("Customer Data"), including residents’ protected health information (PHI) and substance use disorder records.
SoberLab acts as your business associate and processes PHI only as permitted by our Business Associate Agreement and consistent with HIPAA and 42 CFR Part 2. We do not sell Customer Data and use it only to provide, secure, and improve the Services for you.
Intellectual property
SoberLab and its licensors own all right, title, and interest in the Services, including software, design, and the SoberLab name and marks. These Terms grant you no ownership in the Services. Feedback you provide may be used by SoberLab without restriction or obligation to you.
Third-party services
The Services integrate with third-party providers — including Google for authentication and approved subprocessors for hosting and communications. Your use of those services may be subject to their own terms. SoberLab is not responsible for third-party services outside our control.
Availability & support
We target 99.9% monthly uptime and provide support to administrators during published hours. The Services may be temporarily unavailable for maintenance, updates, or events beyond our reasonable control. We are not liable for losses arising from such interruptions.
Fees & subscription
Fees, billing frequency, and the subscription term are set out in your Order Form. Unless stated otherwise, fees are non-refundable and exclusive of taxes. Non-payment may result in suspension of access after notice.
Term & termination
These Terms remain in effect while you use the Services. Either party may terminate as described in your Order Form. We may suspend or terminate access for material breach or unlawful use. On termination, we will make Customer Data available for export for 30 days, after which it may be deleted per our retention policy.
Provisions that by their nature should survive termination — including intellectual property, disclaimers, indemnification, and limitations of liability — will survive.
Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, SoberLab disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Services support clinical and operational workflows but do not provide medical advice and are not a substitute for professional clinical judgment.
Limitation of liability
To the maximum extent permitted by law, SoberLab will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data. SoberLab’s total liability for any claim is limited to the fees you paid for the Services in the twelve months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold SoberLab harmless from claims arising out of your use of the Services in violation of these Terms, your Customer Data, or your violation of applicable law or the rights of a third party.
Governing law & changes
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules. We may update these Terms from time to time; for material changes we will give at least 30 days’ notice. Continued use after changes take effect constitutes acceptance.
